Welcome to Home Pro Appointments ("Company," "we," "our," or "us"). By accessing or using our website, services, or contractor portal (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
These Terms constitute a legally binding agreement between you (whether as an individual or on behalf of an entity) and Home Pro Appointments. We reserve the right to modify these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.
2. Service Description
Home Pro Appointments provides lead generation and appointment setting services for home improvement contractors. Our Services include:
- Pre-qualified appointment scheduling with homeowners
- Lead verification and confirmation services
- Contractor portal access for appointment management
- Multi-channel marketing and lead generation
- CRM integration capabilities
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.
3. Eligibility and Registration
To use our Services, you must be a licensed home improvement contractor or authorized representative of such a business. You must be at least 18 years old and have the legal capacity to enter into binding contracts.
When registering for our Services, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Payment Terms
Our Services operate on a performance-based pricing model. You agree to pay for appointments according to the pricing structure outlined in your service agreement:
- Payment is due only for appointments that result in demos, issues, or sales
- No upfront costs or monthly fees unless otherwise specified in your agreement
- Pricing varies by service type and geographic location
- All fees are non-refundable except as provided in our credit policy
We offer a 100% credit policy for appointments that do not meet our quality standards, as defined in your service agreement. Credit requests must be submitted within 48 hours of the scheduled appointment time.
5. User Obligations and Conduct
As a user of our Services, you agree to:
- Maintain all required licenses and insurance for your contracting business
- Respond promptly to scheduled appointments provided through our Services
- Treat homeowners and our staff with professionalism and respect
- Provide accurate feedback on appointment quality and outcomes
- Comply with all applicable laws and regulations in your business operations
- Not misuse, abuse, or attempt to circumvent our Services
- Not share your account credentials with unauthorized parties
6. Intellectual Property Rights
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, software, and design, are owned by Home Pro Appointments or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your business purposes. You may not reproduce, distribute, modify, or create derivative works from our content without express written permission.
7. Data Usage and Privacy
Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect, use, and protect your information as described in our Privacy Policy.
You acknowledge that we may collect and use data about appointment outcomes, customer interactions, and service performance to improve our Services and provide analytics to you and other contractors.
8. Warranties and Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
While we strive to provide high-quality appointments, we do not guarantee:
- That appointments will result in sales or specific business outcomes
- The accuracy or reliability of information provided by homeowners
- Uninterrupted or error-free operation of our Services
- That our Services will meet your specific business requirements
You acknowledge that success in converting appointments to sales depends on many factors outside our control, including your sales skills, pricing, product quality, and market conditions.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOME PRO APPOINTMENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid us in the three (3) months preceding the event giving rise to the liability.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Home Pro Appointments, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your business operations and interactions with homeowners
- Any negligence or misconduct by you or your employees
11. Termination
Either party may terminate the service relationship at any time with written notice. We reserve the right to suspend or terminate your access to the Services immediately, without notice, for:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Conduct that harms our reputation or other users
Upon termination, you remain responsible for all outstanding fees and obligations incurred prior to termination. Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, and limitations of liability.
12. Dispute Resolution and Arbitration
Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Palm Beach County, Florida.
You agree to waive any right to a jury trial or to participate in a class action lawsuit. This arbitration agreement does not preclude either party from seeking injunctive relief in court to prevent irreparable harm.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding related to these Terms shall be brought exclusively in the courts located in Palm Beach County, Florida.
14. Miscellaneous Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any service agreement, constitute the entire agreement between you and Home Pro Appointments regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Force Majeure: Neither party shall be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
